******* is to be taken over by the American food company Kraft after its board approved a new increased bid, the BBC has learned.
The ******* board will advise its shareholders to accept a new offer of 840 pence a share - valuing the company at £11.5bn.
******* shareholders will also receive a dividend of 10 pence a share, BBC business editor Robert Peston says.
The deal will bring to an end months of animosity between the two companies.
The offer will consist of 500 pence in cash, with the rest made of Kraft shares. Kraft will borrow £7bn ($11.5bn) to finance the deal.

Wait until the accountants change the recipe to cheaper ingrediants.Also, IT'S THE PRINCIPLE!!! This is the company who led the field in altruistic treatment of it's workforce actually building them a village with sports facilities on site etc. it shouldn't become a small part of a big corporation who couldn't care less about anything but the bottom line!

That's globalisation for you! Companies of course will always look at the bottom line and reduce costs if they can. They have a responsibility to their shareholders who have invested in the company - without which it is unlikely the company would be able to produce anything of quality, if at all. It's no different to a family who live on a budget and find ways to cut down on monthly expenditure. It's good *******'s were altruistic, but that is in the past - times and principals change.
*******'s may make a very popular chocolate, but Swiss chocolate, in the minds of many people, is superior.
Whatever happens, they should keep the brand name, "Kraft dairy milk chocolate" doesn't sound quite right, does it?

UK's biggest shareholder says bid undervalues *******
*******’s biggest UK shareholder threw a potential spanner in the works of an £11.9 billion agreed takeover bid by Kraft, of the United States, tonight by publicly denouncing the deal on price grounds.
Legal & General Investment Management (LGIM), which holds 5.1 per cent of the British confectionery group, said that the 850p cash-and-shares bid by Kraft did not reflect the long-term value of the company.
Mark Burgess, head of active equities for LGIM, said: “We are disappointed management have recommended the offer for this iconic and unique British company, but are grateful for the constructive way they have engaged with us throughout the process.”
LGIM, which is the biggest single investor in listed companies in the UK, did not say whether it would be voting against the deal, which was formalised by the boards of ******* and Kraft this morning after dramatic meetings during the early hours.
Kraft needs to secure the support of 90 per cent of *******'s shareholders, although it has reserved the right to reduce that level to 50 per cent if it chooses.
LGIM is among the most highly respected of Britain's institutional investors and its comments, although unlikely to derail the deal completely, could spark fresh opposition from other UK shareholders and make it harder for Kraft to secure acceptances.
LGIM declined to comment beyond a statement issued after the market closed today.

it just doesn't sound very big deal when an American company buys a chocolate bar company - BIG DEAL.
Had you noticed without ANY sale the British Government gave Chorus Steel £1.2 BILLION to shut down Redcar Lose 1,000s of jubs, lose our British firm with British profits. Did you notice this was £1.2 Billion of tax payers' money extorted from us for one of the richest men in the world Mr. Tata with presumably a cut for the scheister Pachauri!
Did you notice whilst the American company honourably bought our choccy company!
Did you note that we pay The EU £40Million or £1.8 Million an hour to the EU to get nothing worth having back but we still had to match fund the junk developements.
A choccy bar company SOLD to America - what about Abbey going to Portugal and now owned in Portugal.
What about the printing of money to hide the lies.
Notice the Nuclear industry now owned by France - as with British Gas (A French Co.)
Or Water Companies French owned.
Put *******'s in perspective!!

1/ The Abbey; now Santander, is Spanish owned
2/ British Gas is owned by Centrica and BG Group, which have their HQ based in Windsor and Reading respectively.
And as long as their fleet of mobile creme eggs stays on the road too!

surely everyone who claims to know anything about chocolate is conversat with the Spanish saying:
'In taste there is nothing written'.
I find sour milk repugnanant yet many of the Africans who lived on my property and worked for me would take fresh milk and leave it in the sun until sour.
I am unimpressed with fish jam with pips and salt sauce yet many will pay huge amounts for Baluga caviar.
I actively dislike Belgian chocolate but enjoy most Swiss chocolate.
I dislike almost all British confectionary products as they are too sweet for my taste and many contain salt - which I believe should be unlawful for manufacturers and wholsesalers to use in pre made foods.
Indeed for a rare change the Spanish have managed to get something right!

Cad.bury's has stopped making the creme egg here in NZ and is importing the vastly inferior eggs from the UK. The eggs from the UK taste so foul, I don't know how you Brits can like the creme egg. There is a huge controversy over here.
